Distributor Agreement

This official agreement is solemnly executed between HARIMIT SUCCESSPATH PRIVATE LIMITED (hereinafter referred to as the “Company”) and the independent individual contracting/joining online as a direct seller (hereinafter referred to as the “Distributor”).
1. Eligibility Parameters
- The contracting Distributor must be at least 18 years or older on the date of execution.
- All KYC details, bank records, and contact footprints provided must be completely true and legally verifiable.
- Providing false or manipulated data will trigger an automatic and permanent termination of the user profile.
2. Nature of Relationship
💼 Independent Status Clause: The relationship governed under this pact is strictly principal-to-principal. The distributor is NOT an employee, permanent labor force, corporate agent, or partner of the company. This is purely an independent micro-entrepreneurship opportunity.
3. Income, Sales & Commission
- All system earnings depend completely on personal retail execution and genuine sales volume generated within your registered team network.
- The company explicitly avoids promising any fixed salary, automated wages, or passive retention perks.
- All promotional commissions are strictly evaluated and dispensed in total alignment with the company's official Incentive Plan document.
4. Strictly Prohibited Activities
- Making unauthorized financial claims, guaranteeing overnight wealth, or linking the plan with government revenue schemes.
- Promoting, pitching, or organizing illegal pyramid networks, absolute chain money loops, or pure recruitment schemes.
- Engaging in cross-poaching, platform defamation, or any action that degrades the public reputation of the corporate brand.
5. Contract Termination
The company maintains complete executive authority to permanently suspend or freeze a distributor's network database structure without prior notice if they are verified to be in direct breach of any code of ethics or company policy nodes.
6. Governing Law & Jurisdiction
This structural agreement falls strictly under the legislative framework of the Republic of India. Any trade disputes, legal litigation, or claims shall be managed exclusively by the appropriate courts situated in Himachal Pradesh, India.

यह आधिकारिक कानूनी अनुबंध HARIMIT SUCCESSPATH PRIVATE LIMITED (आगे "कंपनी" के रूप में संदर्भित) और ऑनलाइन माध्यम से डायरेक्ट सेलर के रूप में जुड़ने वाले स्वतंत्र व्यक्ति (आगे "डिस्ट्रिब्यूटर" के रूप में संदर्भित) के बीच आपसी सहमति से निष्पादित किया जाता है।
1. पात्रता के मापदंड
- अनुबंध करने वाले डिस्ट्रीब्यूटर की आयु पंजीकरण की तिथि पर अनिवार्य रूप से 18 वर्ष या उससे अधिक होनी चाहिए।
- पंजीकरण और केवाईसी (KYC) के समय प्रदान की गई सभी जानकारियां, बैंक विवरण और दस्तावेज पूरी तरह सत्य और वैध होने चाहिए।
- किसी भी प्रकार की गलत या हेरफेर की गई जानकारी पाए जाने पर आपका डिस्ट्रीब्यूटर खाता तुरंत प्रभाव से रद्द कर दिया जाएगा।
2. कार्य एवं संबंधों की प्रकृति
💼 स्वतंत्र व्यापारिक दर्जा खंड: इस अनुबंध के तहत संबंध पूरी तरह से 'प्रिंसिपल-टू-प्रिंसिपल' (प्रधान-से-प्रधान) के आधार पर हैं। डिस्ट्रीब्यूटर कंपनी का कोई कर्मचारी, एजेंट, कानूनी भागीदार या वेतनभोगी श्रमिक **नहीं** है। यह पूरी तरह से एक स्वतंत्र स्वरोजगार का अवसर है।
3. आय एवं कमीशन नीतियां
- इस सिस्टम में आपकी आय पूरी तरह से आपके व्यक्तिगत रिटेल टर्नओवर और आपकी टीम नेटवर्क द्वारा की गई वास्तविक उत्पाद बिक्री पर आधारित होगी।
- कंपनी किसी भी डिस्ट्रीब्यूटर से कोई निश्चित मासिक वेतन, सैलरी या घर बैठे निश्चित भत्ते देने का वादा बिल्कुल नहीं करती।
- सभी प्रकार के इंसेंटिव और कमीशन केवल कंपनी के आधिकारिक 'Incentive Plan' (बिजनेस प्लान) के नियमों के अनुसार ही तय और वितरित किए जाएंगे।
4. पूर्णतः प्रतिबंधित गतिविधियाँ
- बाजार में किसी भी नए व्यक्ति से झूठे वादे करना, रातों-रात अमीर बनाने का दावा करना या इसे सरकारी गारंटी योजना बताना पूर्णतः प्रतिबंधित है।
- किसी भी प्रकार की अवैध पिरामिड योजना, मनी सर्कुलेशन चैन या बिना उत्पाद की शुद्ध मेंबर-मेकिंग स्कीम का प्रचार करना सख्त वर्जित है।
- मार्केट में कंपनी की ब्रांड छवि को नुकसान पहुंचाना, अनधिकृत बयानबाजी करना या कंपनी विरोधी गतिविधियों में शामिल होना मना है।
5. अनुबंध एवं अकाउंट की समाप्ति
यदि कोई डिस्ट्रीब्यूटर कंपनी की नीतियों, आचार संहिता या डायरेक्ट सेलिंग नियमों का उल्लंघन करता पाया जाता है, तो कंपनी के पास बिना किसी पूर्व सूचना के उनके डिस्ट्रीब्यूटर आईडी और नेटवर्क स्ट्रक्चर को हमेशा के लिए समाप्त (Terminate) करने का पूर्ण अधिकार सुरक्षित है।
6. कानूनी क्षेत्राधिकार
यह अनुबंध पूरी तरह से भारत गणराज्य के कानूनों के अधीन संचालित होगा। व्यापारिक संबंधों से उत्पन्न होने वाले किसी भी प्रकार के कानूनी विवाद या दावों की स्थिति में न्यायिक क्षेत्राधिकार विशेष रूप से हिमाचल प्रदेश, भारत के न्यायालयों के अधीन रहेगा।
